Corporate Governance & MCA Secretarial Compliance
Maintain pristine corporate legal standing. We manage annual MCA filings, board resolutions for bank borrowings, director KYC, and statutory registers to prevent compliance defaults.
The Severe Consequences of Secretarial Defaults
The Ministry of Corporate Affairs (MCA) imposes hefty per-day penalties for delayed statutory filings, while non-compliant companies face director disqualification, frozen bank accounts, and complete disqualification from bank lending.
Per-day MCA additional fees of ₹100 per day accumulating on delayed AOC-4 and MGT-7 filings
Director DIN deactivation due to missed annual DIR-3 KYC filings
Missing board and shareholder resolutions for bank borrowing under Section 180(1)(c)
Unsatisfied old bank charges lingering on the MCA portal (defective Form CHG-4)

Frequently Asked Questions
Institutional insights regarding appraisal standards, banking requirements, and advisory methodology.
What is the consequence of failing to pass a Section 180(1)(c) resolution for bank borrowing?
Under Section 180(1)(c) of the Companies Act, 2013, if the total money to be borrowed by a company (together with existing debt) exceeds the aggregate of its paid-up share capital, free reserves, and securities premium, the directors cannot borrow without a Special Resolution passed by shareholders in a general meeting. Lending banks will reject loan disbursements without this resolution.
How do I remove an old, repaid loan from my company's MCA master data?
Upon full repayment of a loan, the company must obtain a No Objection Certificate (NOC) or satisfaction letter from the bank and file Form CHG-4 with the Registrar of Companies (ROC) within 30 days. The ROC will then issue a Certificate of Registration of Satisfaction of Charge, removing the charge from public records.
