The Industry Challenge

The Post-Sanction Disbursement Bottleneck

Receiving a loan sanction letter is only half the battle. Sanction letters often contain 30 to 50 complex pre-disbursement conditions, legal title clearance requirements, and restrictive covenants. Promoters frequently face weeks or months of disbursement delays due to incomplete documentation.

!

Disbursement halted due to pending statutory clearances or incomplete title search reports

!

Inability to create Pari-Passu or second charges due to inter-creditor disagreements

!

Delays in filing ROC Form CHG-1 leading to penal fees or lender refusal to release funds

!

Overlooking restrictive covenants regarding dividend distribution or management change

Frequently Asked Questions

Institutional insights regarding appraisal standards, banking requirements, and advisory methodology.

Why do banks delay disbursement even after sanctioning a loan?

Banks operate separate Credit Sanction and Credit Administration Departments (CAD). While the sanction committee approves the loan in principle, CAD cannot disburse a single rupee until every single Condition Precedent (CP), such as promoter margin proof, ROC charge creation, and clear title search, is 100% verified.

What is the time limit for filing ROC Form CHG-1 in India?

Under Section 77 of the Companies Act, 2013, a company must file Form CHG-1 within 30 days of the creation of the charge. While delayed filing is permitted up to 60 days with additional fees, banks generally mandate proof of filing before releasing the first loan tranche.
